1. These terms

Asternodis is operated by Irruptiv Software Solutions LLC ("we", "us"), a limited liability company registered in Georgia, United States. By using asternodis.com or buying a subscription you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it. If you don't agree, please don't use the site or the software.

Three documents apply, and they don't overlap: these terms govern the site and your purchase; the license terms govern your use of the software; the privacy policy governs personal data.

2. Using this website

The site and its content are ours or our licensors', and are provided for information about the product. Please don't attempt to break, overload, or gain unauthorised access to the site or the services behind it, scrape it at a volume that degrades it for others, or misrepresent your identity when contacting us.

We publish benchmark figures, comparison tables, and documentation in good faith. They describe our testing, not a guarantee of what you will see on your own hardware, network, and workload.

3. Subscriptions, billing, and renewal

Subscriptions are sold per year and per DR Site Pair, with each tier covering a stated number of protected Proxmox nodes. Prices are in US dollars and exclude any tax that applies where you are.

Your subscription renews automatically at the end of each annual term, charged to your payment method at the price then in effect, until you cancel. We will tell you by email before any renewal at a changed price. Payment is processed by Stripe; you can manage or cancel your subscription from the "My licenses" page or the Stripe customer portal.

A price change never applies to a term you have already paid for.

4. Cancellation and refunds

You can cancel at any time. Cancelling stops the next renewal and your licence continues to the end of the term you have paid for. We don't cut your DR protection short because you cancelled.

If Asternodis doesn't work for you, contact us within 30 days of your first purchase and we will refund it. We offer a full-featured trial precisely so you can prove the product in your own environment before paying, and we would rather refund you than hold money from someone the product didn't serve. Renewals are not automatically refundable, but talk to us: if a renewal caught you by surprise we will sort it out.

5. Your data and your infrastructure

Asternodis runs on your own hardware. Your virtual machines, containers, and replicated data move directly between your production and recovery sites over your own network and never pass through our servers. We have no access to them.

You remain responsible for your infrastructure: for testing your recovery plans, for the security and access control of your Proxmox clusters and your Asternodis controllers, for your own backups, and for the legal and regulatory requirements that apply to the data you protect. DR software is a tool for meeting those obligations, not a transfer of them.

6. Availability and support

The software runs locally and does not depend on us being online. Our activation and licensing service, this website, and the download service are provided without an uptime commitment unless you hold a separate written support agreement.

Support is provided in writing, at the levels set out on our pricing page. Response times published there are targets we work to; they do not create a contractual commitment and do not entitle you to a credit or other remedy, unless you hold a separate written agreement providing otherwise. Support covers Asternodis itself: diagnosing or repairing your Proxmox clusters, storage, or network is outside it, though we will tell you what we can see.

Licensing is deliberately fail-safe. If your licence lapses or our service is unreachable, replication pauses and new protected workloads are blocked, but failover, failback, and abort keep working. Licensing must never stand between you and a recovery, and it doesn't.

7. Warranties

We warrant that we will provide the software and services with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the software and this website are provided "as is", without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that any specific recovery point or recovery time objective will be achieved in your environment: those depend on your hardware, storage, network, and workload.

8. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill, or data, however caused. Our total liability arising out of or in connection with these terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Please read that alongside section 5. Asternodis is one layer of a disaster recovery strategy, not the whole of one. Keep independent backups and test your recovery plans. The product exists to make testing them easy, and a plan you have never rehearsed is not a plan.

9. Suspension and termination

We may suspend or terminate a licence that is used in breach of the license terms, most commonly a non-commercial Home Lab key used commercially, or a key shared beyond the entitlement it was sold under. We will contact you first and give you a reasonable chance to put it right; we are not looking to catch anyone out.

10. Changes to these terms

We may update these terms. The version that applies to your subscription is the one in effect on the date of your purchase or most recent renewal. We will announce material changes on this page and by email.

11. Governing law

These terms are governed by the laws of the State of Georgia, United States, and the state and federal courts located in Georgia have exclusive jurisdiction, except that if you are a consumer, you keep the benefit of any mandatory consumer protections and the right to bring proceedings in the courts of your own country of residence.
